Benjamin is a highly experienced corporate and commercial lawyer.

He advises clients on a range of matters, including business sales and acquisitions, corporate governance and structuring, joint ventures, capital raising and commercial contracting matters.

He works with clients in various sectors including FMCG, financial services, healthcare, infrastructure, agriculture, transport, forestry, energy and manufacturing.

Benjamin regularly provides advice on company and limited partnership structuring, shareholder agreements, investment agreements, distribution agreements, research and development arrangements and various other commercial arrangements.

Benjamin brings to the role experience working in the corporate/commercial teams at large national firms in both New Zealand and the UK.

  • Advising a global business in the aviation industry on establishing a presence in New Zealand
  • Negotiating and completing the sale of a New Zealand civil engineering technology business to an Australian buyer
  • Advising a dairy processor on capital raising and corporate governance matters
  • Advising a global coffee equipment distributor on an equipment leasing programme, including drafting operating and finance lease documents
  • Drafting complex company constitutions and shareholder agreements
  • Guiding sellers through the business sale process, negotiating and completing numerous transactions for business owners in various industries
  • Advising offshore buyers on acquisitions of New Zealand businesses and assets, including advising on making an offer, due diligence, regulatory requirements, formal sale and purchase documentation, and completing the acquisition
  • Assisting businesses and investors with the establishment and review of limited partnership structures
